Fair market value, commercial reasonableness, market power, information sharing, and restrictive covenants were identified as major focus areas.<br /><br />Negotiation topics included governance, board control, reserved powers, deadlock resolution, transfer restrictions, exit rights, valuation methods, and unwinding procedures. Ancillary agreements such as management services agreements, professional services agreements, and brand licensing agreements must be coordinated with the JV operating agreement, with attention to term, fees, performance standards, and termination rights.<br /><br />Integration and operational success require planning for staffing, IT, cybersecurity, HIPAA compliance, data access, and revenue cycle integration. Compliance programs should be tailored to the JV, and members cannot rely solely on a “passive investor” approach if they learn of compliance issues.<br /><br />The presentation concluded with practical keys for success: conduct thorough diligence, align culture and vision early, address difficult issues upfront, plan for disputes and exits, communicate regularly, involve decision-makers, set measurable goals, remain flexible, and move quickly but thoughtfully.
